Read this before you act on anything you learn here. Oalgo is a research and analytics tool. It does not execute trades and has no access to any account you hold anywhere. But if you act on your own research and trade — in any market — you take on a substantial risk of loss, and you may lose all or a substantial portion of your capital. Only deploy funds you can afford to lose entirely.

Scope: Oalgo is available exclusively to residents of India, accessing the Platform from within India. This Risk Disclosure is written for that launch phase and is not a global document.

1. Introduction and Purpose

This Risk Disclosure describes the material risks involved in using Oalgo (the "Platform") and in acting on the information it produces. It is intended to help you make an informed decision before subscribing to or relying on the Platform.

This document does not create any obligation on the Company beyond what is set out in our Terms of Service. It is a disclosure of risk, not a warranty, guarantee, or promise about how any risk will or will not materialize. By using the Platform, you acknowledge that you have read and understood this Risk Disclosure, as set out in Terms of Service Section 30.

2. What the Platform Does and Does Not Do

Understanding this boundary is the starting point for every risk described below.

The Platform does: let you describe a trading idea in plain language and turn it into structured strategy logic; build indicators, rules, screens, and watchlists; backtest logic against historical market data; forward test it against live market data using simulated funds only; run scanners; send alerts based on conditions you define; and show dashboards and analytics.

The Platform does not, as presently offered: execute, place, route, or facilitate any order; connect to, access, or transact on any exchange, broker, bank, or other account you hold; or make any decision on your behalf.

And permanently, regardless of what features we add: the Company is non-custodial. We do not hold, receive, transfer, or have custody of your funds or assets in any form, at any time. That is structural and will not change.

The Platform is under active development and its feature set may be extended over time. Any change that affects what is described here will be reflected in updated Terms of Service and this Risk Disclosure before the feature becomes available to you.

What this means for you. Every trading or investment decision is yours, taken outside the Platform, and every transaction you enter into is one you place yourself, somewhere else, in your own name. The Platform's output is information you choose whether to act on. The Company has no visibility into whether you act on it, no involvement in any transaction, and no ability to stop, reverse, or intervene in anything you do as a result.

3. Market Risk

If you act on your own research and trade, you take on substantial market risk. This is true of financial markets generally, and more so of highly volatile ones. These conditions are entirely outside the Company's control:

Extreme volatility Markets can move dramatically — sometimes by double-digit percentages — within seconds

Flash crashes Sudden, extreme price drops that can invalidate any analysis in moments

Market manipulation Third parties may manipulate prices, outside our knowledge or control, in ways that distort both live prices and the historical data any analysis is built on

Liquidity constraints Insufficient market depth can cause orders you place to execute at prices far from what your analysis assumed

Slippage The price can move between the moment you decide to trade and the moment your order actually executes

Gap risk Prices can jump with no trades in between — for example, over a weekend or during low-liquidity periods

Black swan events Unprecedented events — an exchange collapse, a regulatory ban, a war — can cause losses no model anticipated

Total or partial loss of value Any asset can lose part or all of its value, including to zero

Only risk what you can afford to lose

You may lose all or a substantial portion of your capital. You should only deploy funds you can afford to lose entirely. No analysis, backtest, or screen produced by the Platform reduces this risk.

Markets currently covered

The market data presently available on the Platform covers digital asset (cryptocurrency) markets. These are not regulated in India, can be substantially more volatile than traditional markets, and offer no regulatory recourse for losses. Every risk described in this section applies to them with particular force. The markets we cover may change over time; the current list is shown on the Website.

4. Platform and Software Risk

The Platform's software may contain errors, bugs, glitches, or other defects, and may at times behave unexpectedly or incorrectly — despite our reasonable efforts to prevent this. We do not warrant that the Platform is error-free. Specifically, the Platform may:

Generate strategy logic that does not do what it appears to do

Produce incorrect backtest or forward-test results

Produce incorrect scanner, screen, or analytics output

Send an alert that should not have been sent, or fail to send one that should have been

Display stale, incomplete, or incorrect information

Updates can change results. We may update or modify the Platform at any time, and such updates may change how a strategy is evaluated or how output is calculated. Results produced before an update may not be reproducible after it. You are responsible for reviewing your configurations after any Platform update.

Alerts and notifications are not reliable delivery. Alerts, notifications, and scheduled reports may be delayed, duplicated, misdelivered, or never delivered — including because of failures at your email provider, messaging provider, device, or network, none of which we control. Never rely on receiving an alert, and never treat the absence of an alert as confirmation that a condition has not occurred.

Downtime. The Platform may be unavailable, degraded, or withdrawn at any time, with or without notice. Because the Platform does not execute or hold anything, downtime does not put any position or any money at risk — but it may leave you without access to your research, your screens, or your alerts at a moment when you want them. 5. Market Data Risk

All analysis produced by the Platform is only as good as the underlying data. We obtain market data from third-party data providers and public market data feeds. We do not originate it.

Market data may be inaccurate, delayed, incomplete, revised after the fact, or unavailable. Historical data may contain gaps, errors, or survivorship bias — for example, delisted instruments may be missing entirely, making historical results look better than reality. Data providers may change, restrict, suspend, or terminate their feeds at any time, and the instruments and markets covered by the Platform may change accordingly, without notice.

A backtest run on flawed data produces a flawed result that may look entirely convincing. We do not warrant the accuracy, completeness, or timeliness of any market data, and we are not liable for any loss arising from a defect in it.

Not everything you see is live. The timeliness of market data varies by market and by instrument. Some markets are provided on a delayed basis, and some end-of-day only. Which is which is indicated on the Website and within the Platform. Never assume a figure is a current live price unless it is marked as real-time — and never act on a delayed or end-of-day figure as though it were.

Display-only licence. Market data on the Platform is licensed to you for display and personal research only. Using it — or Platform alerts and output — to drive an automated trading system, order generation, or any other machine-driven process is prohibited under Terms of Service Section 6, and may also breach our data providers' own terms.

6. AI-Generated Strategy Logic Risk

The Platform includes an AI-assisted feature that translates your plain-language description of a trading idea into strategy logic, indicators, or rules ("AI-Generated Code"). This carries risks specific to how AI systems work:

No warranty of accuracy or intent-fidelity. AI-Generated Code is produced by artificial intelligence based on your description. It may misinterpret your description, contain logical errors, or behave in ways you did not intend. We do not warrant that it correctly reflects your intended strategy.

A chart preview is not validation. Any chart, graph, or visual rendering of AI-Generated Code is illustrative only. It does not confirm that the underlying logic is correct or fit for any purpose. You must independently review the generated logic — not rely on its visual appearance — before backtesting, forward testing, or relying on its output in any way.

A profitable backtest does not mean the code matches your intent. Backtesting and forward testing evaluate the simulated performance of AI-Generated Code as written — they do not verify that the code correctly implements the strategy you described. A strategy can appear profitable in simulation while still not reflecting what you actually intended.

Review it yourself before you rely on it. AI-Generated Code carries the same risk profile, and the same responsibility on your part, as a strategy you configured manually. See Terms of Service Section 7 for the full position.

7. Backtest and Forward-Test Limitations

This is the risk most commonly underestimated by users of any analytical tool.

Simulated results are not real results. Backtest and forward-test results displayed on the Platform are simulations produced from historical or live market data. No real order is placed, no real money is involved, and no result shown has ever been achieved in an actual market. They are provided for informational and illustrative purposes only and are not a guarantee or predictor of future performance.

Simulated results do not fully account for real-world factors including:

Slippage

Exchange and broker fees

Order rejection or partial fills

Latency between decision and execution

Liquidity constraints

The market impact of your own orders

Your own behaviour under pressure — a strategy you can run in simulation is not necessarily one you can follow through a real drawdown

Hypothetical performance results have inherent limitations. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown by any backtest or forward test on the Platform. There are frequently sharp differences between hypothetical results and the actual results subsequently achieved by any particular trading approach.

Hypothetical results are generally prepared with the benefit of hindsight — the data was already known when the strategy was written. Hypothetical trading does not involve financial risk, and no hypothetical record can account for the impact of financial risk in actual trading. The ability to withstand losses, or to adhere to an approach in spite of losses, is a material factor that can adversely affect real results and cannot be simulated. There are numerous other factors, related to the markets generally or to the implementation of any specific approach, which cannot be fully accounted for in hypothetical results and all of which can adversely affect actual results.

Overfitting. A strategy can perform well against historical data simply because it has been shaped, deliberately or accidentally, to fit that particular data — not because it captures any durable market behaviour. The more variations you test, the more likely it becomes that a strong result is coincidence. Strong backtest results are not evidence that a strategy will work in future.

Past performance — whether actual or simulated — is not indicative of future results. Actual results will differ, potentially very significantly, from simulated results.

8. No Investment Advice, No Guaranteed Profits

The Platform is a research and analytics tool. Nothing on the Platform — including strategy logic, backtest or forward-test results, scanner output, alerts, dashboards, templates, or any other output or communication — constitutes investment, financial, or trading advice, or a recommendation, solicitation, or offer to buy, sell, or hold any asset.

We do not assess your financial situation, objectives, experience level, or risk tolerance, and we do not provide personalised recommendations. You should seek independent professional financial advice before making any investment decision.

The Company is not a broker, dealer, exchange, investment adviser, research analyst, portfolio manager, financial institution, or fund manager, and is not registered as any of these with any regulator.

We make no representation or warranty that using the Platform will result in profits. Pre-built strategy templates, where offered, are provided strictly for educational and illustrative purposes — they are not recommendations and should not be relied upon without your own independent assessment of their suitability for your circumstances.

9. Regulatory Risk

The regulatory environment for financial software, and for the markets we cover, is evolving in India and globally. Risks include:

A government banning or restricting trading in any market we cover, which may reduce or eliminate the usefulness of analysis covering it

New regulations requiring us to disable or modify Platform features

Changes in data licensing or regulation affecting which markets and instruments we can cover

Changes to tax law affecting your own trading activity

Regulatory, sanctions, or AML requirements requiring us to restrict specific users' access

We reserve the right to modify, restrict, or discontinue the Platform in any jurisdiction in response to applicable law or regulatory guidance. You are solely responsible for understanding and complying with all laws, regulations, and tax obligations applicable to your own trading and investment activity, in your own jurisdiction, including as they change.

10. Security Risk

Platform-side. Despite reasonable security measures, the Platform may be targeted by unauthorized third parties, hacking, or cyberattacks. See our Privacy Policy for how we protect your data, and Terms of Service Section 13 for the associated liability position.

We hold no credentials to any account of yours. The Platform does not ask for, store, or use credentials, API keys, or access tokens for any exchange, broker, bank, or other financial account, and has no technical means of accessing any such account. This materially limits what a breach of the Platform could expose. It also means that any request purporting to come from us for such credentials is fraudulent — never provide them, and report the request to us immediately.

Your own devices and credentials. Malware, phishing, weak passwords, or password reuse affecting your own devices or your Platform login can compromise your account independently of anything the Platform does. You are solely responsible for the security of your own login credentials and devices.

Your own trading accounts. The security of any exchange, broker, or bank account you hold is entirely outside our control and unconnected to the Platform.

11. Tax Risk

You are solely responsible for determining, reporting, and paying all taxes applicable to your own trading and investment activity, and to your use of the Platform, in your own jurisdiction. Tax treatment varies by asset class and jurisdiction, can be complex, and can change. We do not provide tax advice.
