Oalgo — a product of Kshonee Private Limited

Scope: Oalgo is available exclusively to residents of India, accessing the Platform from within India. These Terms are written for that launch phase and are governed by the laws of India. They are not a global Terms of Service.

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of Oalgo, an AI-assisted strategy research, backtesting, and market analytics software platform (the "Platform," "Service"), operated by Kshonee Private Limited, a company incorporated under the laws of India ("Company," "we," "us," "our").

By creating an account, accessing, or using the Platform, you ("User," "you," "your") agree to be bound by these Terms, along with our Privacy Policy and any other policies referenced herein, which together form the entire agreement between you and the Company. If you do not agree to these Terms, do not create an account or use the Platform.

You represent that you are entering into these Terms on your own behalf, as an individual, and not on behalf of any other person or entity, and not to advise, manage, or trade on behalf of any third party.

2. Definitions

Term Definition

Platform / Service The Oalgo website, application, and all associated tools, features, and functionalities.

Account The account you create to access the Platform.

Strategy Content The trading strategies, indicators, rules, screens, watchlists, and other content you create or configure using the Platform.

AI-Generated Code Strategy logic, indicators, or rules produced by the Platform's AI-assisted features in response to your plain-language description.

Backtest A simulation of how Strategy Content would have performed against historical market data.

Forward Test A simulation of how Strategy Content would perform against live market data, using simulated funds only. No real order is placed and no real money is involved at any stage.

Market Data Price, volume, and related market information the Platform obtains from third-party data providers and public market data feeds.

Subscription A paid plan giving you access to specified Platform features and usage limits.

Fees The amounts payable for a Subscription, as displayed on the Website.

3. Eligibility and Account Registration

You must be at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872 to use the Platform. By creating an Account, you confirm that you meet these requirements.

You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for all activity that occurs under your Account.

We may refuse, suspend, or terminate any Account at our discretion, including where we believe the eligibility requirements above are not met.

4. Software License Grant

Subject to your compliance with these Terms and payment of any applicable Fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform for your own personal, internal, non-commercial purposes for the duration of your Account.

This licence does not transfer any ownership interest in the Platform. All rights not expressly granted are reserved by the Company. You may not sublicense, resell, lease, distribute, or otherwise make the Platform available to any third party, or use it to provide a service to any third party.

5. Description of the Platform

The Platform is software, not a trading venue and not a broker. The Company does not operate an exchange or trading venue, does not match or route orders, does not quote prices, and is not a counterparty to any transaction.

The Company is non-custodial. We do not hold, custody, receive, transmit, or move your funds or assets of any kind, at any time. This is a permanent feature of how the Company is structured, not a limitation of the current feature set, and it will not change.

The Platform does not currently connect to any account you hold. As presently offered, the Platform does not connect to, access, or transact on any account you hold with any exchange, broker, or other financial institution, and does not ask for or hold credentials to any such account. The features described in this Section are the features offered at present; the Platform is under active development and the feature set may be extended over time, in which case these Terms will be updated in accordance with Section 37 before any new feature affecting them is made available to you.

What the Platform does. The Platform is a research and analytics tool that allows you to:

(a) describe a trading idea in plain language and have it translated into structured strategy logic;

(b) build and configure indicators, rules, screens, and watchlists;

(c) backtest that logic against historical Market Data;

(d) forward test that logic against live Market Data using simulated funds only;

(e) run scanners and screens across instruments covered by our Market Data;

(f) receive alerts and notifications based on conditions you define; and

(g) view dashboards, reports, and analytics derived from the above.

All output is informational. Everything the Platform produces — including strategy logic, Backtest and Forward Test results, scanner output, alerts, and analytics — is information for your own research and evaluation. It is not advice, not a recommendation, and not an instruction to buy, sell, or hold anything. Any decision you take on the basis of Platform output, and any transaction you enter into anywhere as a result, is entirely your own decision, taken outside the Platform, and at your sole risk.

Pre-built strategy templates available on the Platform, if any, are provided strictly for educational and illustrative purposes. They are not recommendations and should not be relied upon without your own independent assessment of their suitability for your circumstances.

6. Market Data

The Platform obtains Market Data from third-party data providers and public market data feeds. We do not originate Market Data and do not warrant that it is accurate, complete, current, uninterrupted, or free from error, delay, or omission.

Market Data may be delayed, incomplete, revised, or unavailable. Data providers may change, restrict, suspend, or terminate their feeds at any time, and the set of instruments and markets covered by the Platform may change accordingly, at our sole discretion and without notice to you.

We are not liable for any loss arising from any inaccuracy, delay, gap, revision, interruption, or unavailability in Market Data, or from any change to the instruments or markets we cover.

Some Market Data is delayed or end-of-day, not real-time. The timeliness of Market Data varies by market and by instrument, and by the tier of your Subscription. Some markets are provided on a delayed basis, and some on an end-of-day basis only. Which markets are real-time, delayed, or end-of-day is indicated on the Website and within the Platform. Do not assume any figure shown to you is a current live price unless it is marked as real-time.

Display-only licence; no non-display use. Market Data is licensed to you for display purposes only, for your own personal research, and is subject to the terms our data providers impose on us. You may not use Market Data obtained through the Platform for any non-display purpose. Prohibited non-display uses include, without limitation: automated trading, automated order generation, order routing or smart order routing, price referencing, order verification, algorithmic decision-making, valuation, index calculation, risk management or operations-control systems, or any other machine-driven process that does not involve the direct, human-readable display of the data to you.

This restriction extends to third parties. You may not build, operate, offer, or use any product, tool, script, or service — your own or a third party's — that extracts, forwards, repurposes, or relies on Market Data or Platform output (including alerts and notifications) for any non-display purpose, or that facilitates any other person doing so. Passing Platform output to an automated trading system, whether your own or anyone else's, is a breach of these Terms.

Data provider terms. Market Data remains the property of the respective data providers. Where a data provider requires specific attribution, notices, or disclaimers to be presented to you, those are published on the Website and form part of these Terms.

6A. Conflicts of Interest

The Company may receive referral fees, commissions, or other compensation ("Rebates") from third parties, including exchanges, brokers, data providers, or other service providers, in connection with referrals originating from the Platform or the Website. This creates a financial incentive for the Company to feature or link to those third parties.

Any such feature or link is not, and should not be understood as, a recommendation that the third party is suitable or the best choice for your individual circumstances. You should independently evaluate any third party before dealing with them. The Company is not a party to, and has no responsibility for, any agreement or dealing between you and any third party.

7. AI-Generated Strategy Logic (Plot / Build Feature)

The Platform includes an AI-assisted feature that translates your plain-language description of a trading idea into strategy logic, indicators, or rules ("AI-Generated Code").

No warranty of accuracy or intent-fidelity. AI-Generated Code is produced by artificial intelligence based on your description. We do not warrant that AI-Generated Code is accurate, bug-free, or that it correctly reflects your intended strategy. AI-Generated Code may misinterpret your description, contain logical errors, or behave in ways you did not intend.

Chart or visual preview is not validation. Any chart, graph, or visual rendering of AI-Generated Code is illustrative only and does not confirm that the underlying logic is correct or fit for any purpose. You must independently review the generated logic — not rely on its visual appearance — before backtesting, forward testing, or relying on its output in any way.

Review before you rely on it. You are responsible for reviewing and understanding any AI-Generated Code before acting on anything derived from it. The Company is not obliged to verify, audit, or confirm the accuracy of any AI-Generated Code.

AI-Generated Code is treated as User-configured logic. AI-Generated Code is treated the same as any strategy you configure yourself for all purposes under these Terms, including Sections 14 and 16 below. The origin of the code — whether written by you or generated by AI — does not affect your responsibility for how you use it.

Backtest and Forward Test do not verify intent-fidelity. Backtesting and forward testing evaluate the simulated performance of AI-Generated Code as written; they do not verify that the code correctly implements the strategy you originally described. A strategy can appear profitable in simulation while still not reflecting what you intended.

7A. AI Assistant and Support Communications Are Not Binding

Statements made by the Platform's AI-assisted chat features, or by our customer support staff, in the course of explaining the Platform, answering questions, or providing assistance, are provided for general guidance only. Nothing communicated through these channels constitutes a binding representation, warranty, or amendment to these Terms, and no such statement overrides the terms of this document. If there is any conflict between something communicated through chat or support and the text of these Terms, these Terms control.

8. Ownership of Strategy Content

You retain all ownership rights in the trading strategies, indicators, rules, and other content you create using the Platform ("Strategy Content"), regardless of whether the underlying concept (such as a well-known technical indicator) is itself common or publicly known.

The Company does not use, feature, display, publish, or commercially exploit your specific Strategy Content without your explicit, separate consent — for example, by using a "Publish" or "Share" feature, where offered. Nothing is used or shared based on the Company's own judgment that a strategy is "common enough."

The Company may analyze anonymized and aggregated data derived from Strategy Content across all Users — without identifying you or your specific strategy — to improve the Platform's AI-assisted features and overall service.

If the Company introduces a feature allowing Users to publish or share Strategy Content with other Users or the public, use of that feature will be governed by additional terms presented to you at that time, including the specific scope of rights you grant upon publishing.

What this ownership does and does not cover. Your ownership under this Section applies to the specific AI-Generated Code or configuration produced in response to your own description — the final output you receive and can view. It does not extend to, and you acquire no rights in, the Platform's underlying AI models, system prompts, training methods, generation algorithms, or source code used to produce that output, which remain the Company's exclusive confidential property under Section 4 and Section 21. You may not attempt to reverse-engineer, extract, or reconstruct the Platform's underlying system by analyzing, aggregating, or systematically querying AI-Generated Code or other outputs.

9. Acceptable Use Policy

You agree not to use the Platform to:

(a) Further, plan, or facilitate market manipulation, wash trading, spoofing, insider dealing, or any similar unlawful trading activity on any venue;

(b) Evade or attempt to evade any sanctions, including those referenced in Section 19;

(c) Impersonate any person or entity, or misrepresent your affiliation with any person or entity;

(d) Upload, transmit, or make available any content that is unlawful, threatening, abusive, fraudulent, harassing, defamatory, obscene, or otherwise objectionable;

(e) Upload or transmit viruses, malware, or any code designed to disrupt the Platform;

(f) Reproduce, copy, sell, resell, exploit, modify, reverse engineer, or extract the Platform or its underlying code, except as permitted under Section 4;

(g) Interfere with or disrupt the Platform, its servers, or networks, including attempting to bypass security measures;

(h) Use automated systems (scraping, bots) to extract data from the Platform outside of the API we provide, if any;

(i) Redistribute, resell, sublicense, or republish Market Data or Platform output, or use either for any non-display purpose, or facilitate any third party doing so, in each case as described in Section 6;

(j) Provide investment advice, portfolio management, or any regulated financial service to any third party using output from the Platform;

(k) Violate any applicable law or regulation, or the rights of any third party, in connection with your use of the Platform;

(l) Attempt to reverse-engineer, extract, or reconstruct the Platform's underlying source code, AI models, system prompts, or generation algorithms by analyzing, aggregating, or systematically querying AI-Generated Code or other outputs produced by the Platform (see Sections 4 and 8).

We reserve the right to suspend or terminate your Account, without prior notice, for any violation of this Acceptable Use Policy, and to cooperate with law enforcement requests relating to such violations.

Periodic notice: In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended in 2026, we will remind you at least once every three (3) months, through these Terms, in-app notice, or similar means, that non-compliance with this Acceptable Use Policy or these Terms may result in termination of your access or removal of your content.

10. Fees, Subscriptions, and Payment

The Platform offers a free tier and paid Subscription tiers, as described on the Website at the time of your purchase. Fees, features, and limits for each tier are subject to change; any change to Fees will apply only to Subscription periods purchased after the change takes effect.

Prices are shown inclusive of GST. All Fees displayed on the Website are inclusive of Goods and Services Tax (GST) and of all other applicable taxes. The amount shown is the amount you pay — no additional tax or charge is added at checkout. The GST component is itemised separately on your tax invoice, as required by law.

You may upgrade, downgrade, or cancel your Subscription at any time through your Account settings. Upgrades take effect immediately; downgrades and cancellations take effect at the end of your current billing period unless otherwise stated. Subscriptions renew automatically for the same billing period unless cancelled before the renewal date. Where your payment method requires it, we or our payment processor will send you advance notice before each recurring charge, in accordance with applicable Reserve Bank of India requirements.

You represent that any payment information you provide is accurate and that you are authorized to use the payment method provided.

11. Refund Policy

Refunds for paid Subscriptions, including the cooling-off period on your first purchase of a given tier and the treatment of renewals and terminations, are governed by our separate Refund Policy, which is disclosed at the point of purchase and forms part of your agreement to these Terms.

12. Platform Availability

No uptime guarantee. The Platform is provided "as is" and "as available." We do not guarantee any minimum uptime, availability, or continuity of service. Any part of the Platform may be unavailable, degraded, or withdrawn at any time, with or without notice, including for scheduled or emergency maintenance.

We may change our infrastructure at any time. The systems that run the Platform, and the way workloads are distributed across them, are entirely at our discretion and may be added to, removed, replaced, relocated, or reconfigured at any time without notice to you. Nothing in these Terms describes or commits us to any particular architecture.

Outages are not necessarily uniform. A failure may affect all Users, some Users, or one User, depending on which component is affected.

Alerts and notifications may fail. Alerts, notifications, scanner results, and scheduled reports may be delayed, duplicated, misdelivered, or not delivered at all — including because of failures at your email provider, messaging provider, device, or network, none of which we control. You must not rely on receiving any alert or notification, and the absence of an alert does not mean a condition has not occurred.

Features may change or be withdrawn. We may add, modify, restrict, or remove any feature, instrument, market, data source, or usage limit at any time, at our sole discretion.

No liability. We are not liable for any loss, missed opportunity, adverse price movement, or any other damage arising from: any downtime, outage, maintenance, degradation, latency, or unavailability of the Platform or any part of it; the failure, outage, or degraded performance of any cloud, hosting, network, data, or infrastructure provider; a DDoS attack or other infrastructure-level event; any failure, delay, or error in delivering an alert or notification; or your inability to access the Platform at any time.

13. Security

Account security. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us immediately of any suspected unauthorized access.

Platform security. Despite reasonable security measures, the Platform may be subject to unauthorized access, hacking, or cyberattack by third parties. We are not liable for losses, including data theft, arising from a security breach of the Platform's infrastructure, except to the extent directly caused by our own gross negligence or willful misconduct.

We do not hold credentials to any external account. As presently offered, the Platform does not ask for, store, or use credentials, API keys, or access tokens for any exchange, broker, bank, or other financial account. You should not provide such credentials to us, to anyone claiming to represent us, or through any interface presenting itself as part of the Platform. Any request you receive today purporting to come from us for exchange, broker, or banking credentials is fraudulent and should be reported to us immediately. If we introduce a feature that requires any such credential in future, it will be announced, documented, and covered by updated Terms before it is made available — it will never appear unannounced.

User-side compromise. We are not liable for losses resulting from malware, phishing, or other compromise of your own devices or credentials, even where this results in compromise of your Platform credentials.

Data breach. In the event of a data breach affecting your personal data, we will comply with applicable notification obligations under the Digital Personal Data Protection Act, 2023. Our liability for any data breach is limited as set forth in Section 23 and excludes all indirect or consequential damages.

14. Market and Analytical Risks

Trading involves substantial risk of loss. If you act on anything you learn using the Platform, you do so in markets that carry substantial risk. Market conditions, including extreme volatility, flash crashes, third-party market manipulation, liquidity constraints, slippage, gap risk, and black swan events, are outside our control. We are not liable for any trading or investment losses of any kind. You acknowledge that you may lose all or a substantial portion of any capital you deploy.

Our software can behave incorrectly. The Platform's software may contain errors, bugs, glitches, or other defects, and may produce incorrect strategy logic, incorrect Backtest or Forward Test results, incorrect scanner output, incorrect analytics, or incorrect or missing alerts, at any time and despite our reasonable efforts to prevent this. We do not warrant that the Platform is error-free, and we are not liable for losses arising from software bugs, glitches, defects, or incorrect Platform behavior of any kind, except to the extent directly caused by our own gross negligence or willful misconduct (see Section 23). Updates to the Platform may alter how a strategy is evaluated; you are responsible for reviewing your configurations after any update.

Simulated results are not real results. Backtest and Forward Test results are simulations produced from historical or live Market Data. They do not represent actual trading, no real order is placed, and no real money is involved. They do not fully account for real-world factors including slippage, exchange and broker fees, order rejection, latency, liquidity constraints, or the market impact of your own orders. They are provided for informational purposes only and are not a guarantee or predictor of future performance. Simulated performance is not actual performance, and results achieved in simulation are commonly not achieved in real trading. See our Risk Disclosure for the full detail.

Hypothetical performance results have inherent limitations. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown by any Backtest or Forward Test. There are frequently sharp differences between hypothetical results and the actual results subsequently achieved by any particular trading approach. Hypothetical results are generally prepared with the benefit of hindsight. Hypothetical trading does not involve financial risk, and no hypothetical record can account for the impact of financial risk in actual trading — the ability to withstand losses, or to adhere to an approach in spite of losses, is material and can adversely affect real results. There are numerous other factors, related to the markets generally or to the implementation of any specific approach, which cannot be fully accounted for in hypothetical results and all of which can adversely affect actual results.

Overfitting. A strategy that performs well against historical data may do so because it has been fitted to that data rather than because it captures any durable market behaviour. Strong Backtest results are not evidence that a strategy will work.

15. User Responsibilities

You are solely responsible for configuring and reviewing your own strategies, screens, and alerts, and for evaluating any output the Platform produces before relying on it for any purpose.

You are solely responsible for every trading or investment decision you make, and for every transaction you enter into, wherever and however you enter into it. The Platform plays no part in any transaction. We are not liable for losses arising from incorrect configuration, from your reliance on Backtest or Forward Test results without independent assessment, or from any decision you take on the basis of Platform output.

The Platform is not a wealth management system, a portfolio manager, or a substitute for professional advice. The Company is not obliged to verify, audit, or confirm the accuracy of any strategy, rule, screen, or configuration you create or input into the Platform, whether created using the AI-assisted Build feature (see Section 7) or configured manually.

16. Financial Disclaimers

No investment advice. The Platform is a research and analytics tool. Nothing on the Platform — including strategy logic, Backtest or Forward Test results, scanner output, alerts, dashboards, templates, or any other output or communication — constitutes investment, financial, or trading advice, or a recommendation, solicitation, or offer to buy, sell, or hold any asset. We do not assess your financial situation, objectives, experience, or risk tolerance, and we do not provide personalised recommendations. Seek independent professional advice before making any investment decision.

No guaranteed profits. We make no representation that use of the Platform will result in profits. Past performance, whether actual or simulated, is not indicative of future results. You may lose all or a substantial portion of any capital you deploy.

Educational templates. Pre-built strategy templates, if provided, are for educational and illustrative purposes only and do not constitute trading recommendations.

Only risk what you can afford to lose. Trading and investing are highly speculative. You should only allocate funds you can afford to lose entirely.

Not a broker, adviser, or fund manager. The Company is not a broker, dealer, exchange, investment adviser, research analyst, portfolio manager, financial institution, or fund manager, and is not registered as any of these with any regulator. The Company does not execute, route, or facilitate transactions, and does not hold, move, or manage your funds or assets in any form.

17. Regulatory Risks

The regulatory environment for financial software and for the markets we cover is evolving. We reserve the right to modify, restrict, or discontinue Services in any jurisdiction in response to applicable law or regulatory guidance, without liability to you. You are solely responsible for understanding and complying with all laws, regulations, and tax obligations applicable to your own trading and investment activity, including any changes to those laws.

18. Force Majeure

We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, pandemics, government actions, regulatory changes, internet or power outages, or the actions of third-party service providers including data providers, cloud providers, and AI/model providers ("Force Majeure Events"). Our obligations are suspended for the duration of any Force Majeure Event.

19. Geographic Restriction

The Platform is available exclusively to residents of India, accessing from within India, for this launch phase. Access from outside India is not permitted. Use of a VPN, proxy, or any other method to circumvent geographic access restrictions is a violation of these Terms and may result in immediate suspension or termination of your Account, without notice.

This restriction reflects a deliberate, phased launch — India first, with additional countries added later once each has been separately reviewed for legal compliance. These Terms will be revised before any additional country is added; they should not be assumed to extend automatically to users in other jurisdictions once access is opened there.

20. Feedback

If you send us feedback, ideas, or suggestions regarding the Platform, you agree that we may use that feedback for any purpose, including to improve the Platform, without any obligation to compensate you or attribute the feedback to you.

21. Intellectual Property of the Company

All rights, title, and interest in the Platform itself — including its software, design, trademarks, and all content we provide (excluding your own Strategy Content, governed by Section 8) — are the exclusive property of the Company or our licensors. Market Data remains the property of the respective data providers and is licensed, not sold, to you for your personal use only. Nothing in these Terms grants you any right to use our trademarks or brand features without our prior written consent.

21A. Third-Party Software, Content, and Links

Third-party software. The Platform may include software components supplied by third parties and used under licence from their respective licensors or copyright holders ("Third-Party Software"). Your use of Third-Party Software is governed by the terms and privacy policies of those providers, not by these Terms or our Privacy Policy. We expressly disclaim any warranty or assurance of any kind in relation to Third-Party Software.

Third-party links and content. The Platform and Website may contain links to third-party websites, services, or content. We provide these for convenience only. We do not control, endorse, verify, or accept responsibility for any third-party site, its content, its accuracy, or its availability, and we are not liable for any loss or claim arising from your dealings with any third party you reach through the Platform. Any transaction or relationship between you and such a third party is solely between you and them.

Third-party content within the Platform. Where the Platform displays content originating from third parties — including Market Data, news, reference data, or research from external sources — we make no warranty as to its accuracy, completeness, or timeliness, and assume no obligation or liability in respect of it. Your reliance on any such content is at your sole risk.

22. Disclaimer of Warranties

The Platform is provided "as is" and "as available," without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement.

23. Limitation of Liability

Exclusion of indirect damages. To the maximum extent permitted by applicable law, in no event will the Company, its affiliates, directors, officers, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of profits, loss of trading opportunities, loss of revenue, loss of data, loss of goodwill, cost of substitute services, or business interruption — regardless of whether such damages were foreseeable or we were advised of the possibility of such damages.

Liability cap

To the maximum extent permitted by applicable law, our total aggregate liability to you for any and all claims arising under or in connection with these Terms or your use of the Platform will not exceed the total Fees you paid to us in the twelve (12) months immediately preceding the date the claim arose. If you have not paid any Fees to us (for example, if you have only used a free tier), our total aggregate liability to you will not exceed INR 8,000 (Rupees Eight Thousand only). This cap applies regardless of the form of action, whether in contract, tort, or otherwise.

24. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, and each of their respective directors, officers, employees, agents, licensors, and service providers from any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law; (d) your trading or investment activity; or (e) any third-party claim arising from your use of the Platform.

25. No Class Action

You waive the right to bring or participate in any class action, class arbitration, or representative proceeding against the Company. All claims must be brought individually.

26. Time Limit to File Claims

Any claim arising out of or related to these Terms or your use of the Platform must be filed within one (1) year of the date the claim arose, or it is permanently time-barred, to the extent permitted by applicable law.

27. No Fiduciary Duty

Nothing in these Terms creates a fiduciary, advisory, brokerage, or agency relationship between you and the Company. The Company acts solely as a technology service provider and owes no fiduciary duty to you.

28. Term and Termination

These Terms remain in effect for as long as you maintain an Account. We reserve the right to suspend, restrict, or permanently terminate your access to the Platform at any time, for any reason, including violation of these Terms, suspicious or fraudulent activity, or at our sole discretion, without liability to you.

You may delete your Account at any time through your Account settings. Sections of these Terms that by their nature should survive termination — including Sections 8, 20, 21, 23, 24, 25, 26, and 34 — will survive.

29. Tax Responsibility

You are solely responsible for determining, reporting, and paying all taxes applicable to your own trading and investment activity and to your use of the Platform. We do not provide tax advice and are not responsible for any tax liability arising from your use of the Platform.

30. Risk Acknowledgment

You expressly acknowledge

By creating an Account and using the Platform, you expressly acknowledge that: (a) the Platform is a research and analytics tool that does not execute, route, or facilitate any transaction, and does not connect to or access any account you hold anywhere; (b) every trading or investment decision you make, and every transaction you enter into, is your own decision taken outside the Platform and at your sole risk; (c) trading and investing are highly speculative and involve substantial risk of loss, and you are financially capable of bearing the full loss of any capital you deploy; (d) you have read and understood these Terms and our Risk Disclosure; (e) Backtest and Forward Test results are simulations, are not actual trading results, and are not a predictor of future performance; (f) the Platform's software may contain errors, bugs, glitches, or other defects and may produce incorrect output despite our reasonable efforts to prevent this; and (g) you are using the Platform on the basis of your own independent judgment. You agree that the Company is not liable for losses arising from the Platform's software behaving incorrectly, subject only to the gross negligence and willful misconduct carve-out in Section 23.

31. Grievance Redressal

Grievance Officer. In accordance with the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, the Company has appointed a Grievance Officer to address general consumer complaints. Complaints will be acknowledged within 48 hours and resolved within 30 days of receipt.

Second SLA — intermediary/content complaints. In addition to the above, and in accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended in 2026, complaints relating to content hosted, stored, or transmitted through the Platform will be acknowledged within 24 hours and resolved within 15 days, addressed to the same Grievance Officer named above. Where required, content will be taken down within 3 hours of a valid court or government order (2 hours for certain categories of harmful content defined under applicable rules).

Nodal Officer

The Company has also designated a Nodal Officer to coordinate with law enforcement agencies and government authorities in connection with orders, notices, or requisitions issued under applicable law.

33. Assignment; Notices

Assignment. You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.

Notices. We may provide notices to you via the email address associated with your Account, or by posting a notice within the Platform. Notices to us should be sent to contact@oalgo.trade or to our registered office address above.

34. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute, controversy, or claim arising out of or in connection with these Terms, or their breach, termination, or invalidity, will be finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration will be Thane, Maharashtra, India. The arbitration will be conducted by a sole arbitrator, mutually appointed by the parties or, absent agreement, appointed in accordance with the Act. The language of arbitration will be English, and the award will be final and binding. Nothing in this Section prevents us from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.

35. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if that is not possible, and the remaining provisions will continue in full force and effect.

35A. No Waiver

No failure or delay by the Company in exercising any right, power, or remedy under these Terms will operate as a waiver of that right, power, or remedy, nor will any single or partial exercise preclude any other or further exercise. Any waiver must be in writing and signed by an authorized representative of the Company to be effective.

36. Entire Agreement

These Terms, together with our Privacy Policy and any other policy referenced herein, constitute the entire agreement between you and the Company regarding your use of the Platform, and supersede all prior agreements or understandings.

Non-reliance. You acknowledge that you have not relied on any representation, statement, promise, or assurance — whether made by the Company, its employees, its affiliates, or any third party including partners, affiliates, marketers, or educators promoting the Platform — that is not expressly set out in these Terms.

37. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notice at least 7 days before taking effect. Continued use of the Platform after the effective date of any change constitutes your acceptance of the updated Terms. Independently of any change, we will remind you at least once every three (3) months of the terms governing acceptable use and the consequences of non-compliance, as described in Section 9.
